Terms of Use

1 Agreement to Terms Amendments Limitations of Rights

(a) Arena Talent Inc. (together with its corporate affiliates, “Arena” or “we”) provides a proprietary online platform for individuals and enterprises to further career opportunities, which is accessible through Arena’s website located at arenatalent.com (the “Site”), and related services (collectively, including any new features and applications for the platform, services, and Site, the “Service”). All access to or use of the Service by you (“User” or “you”) is subject to these Terms of Use, as they may be amended from time to time (the “Terms of Use”). The Service includes Arena Pro membership, Arena Academy career-development and networking programs, and associated applications, workshops, mentoring activities, peer introductions, materials, and events. Program-specific Academy terms appear in Section 22.

(b) By accessing or using the Service in any way (including, for example, registering as a user, signing up for an account, providing information, data, or content, or otherwise visiting the Service), whether as a registered user or a guest user, you, as the User, (i) agree that you have read, understood, and agreed to be bound by these Terms of Use, and (ii) consent to the collection and use of any information you submit via the Service pursuant to these Terms of Use and Arena’s Privacy Policy.

(c) Sometimes, in addition to these Terms of Use, there are separate and additional terms, policies, or rules that apply to your access to or use of certain features or functions of the Service or to a product or service offered through the Service (collectively “Additional Terms”). If and to the extent that there is a conflict between these Terms of Use and any Additional Terms, unless the Additional Terms say otherwise, the Additional Terms control to resolve the conflict, but only with respect to the applicable features, functions, product, or service; and these Terms of Use apply in all other respects. Section 22 constitutes Additional Terms for Arena Academy and controls over inconsistent general or Arena Pro provisions solely for Academy participation.

(d) Arena reserves the right, at its sole discretion, to modify or amend these Terms of Use or any Additional terms at any time, with or without advance notice. If Arena does so, it will post the new version of these Terms of Use or Additional Terms on our Site and will indicate at the top the date they were last revised. A new version of the Terms of Use and/or Additional Terms is effective upon posting and your continued access to or use of the Service after such posting constitutes your acceptance of the new version. If you do not agree to abide by these or any future version of the Terms of Use or Additional Terms, you must not use or access the Service. It is your responsibility to regularly review the Terms of Use and all applicable Additional Terms to determine if there have been changes and whether such changes are acceptable to you.

(e) PLEASE READ THESE TERMS OF USE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS. IN PARTICULAR, THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS.

2 Eligibility

By using the Service, you represent and warrant that you are at least the age that applicable law permits to hold a full-time job. In addition, Arena does not permit any access to or use of the Service by anyone under 18 years old. Registration for and access to the Service is void where prohibited.

Arena Academy admission is subject to the Academy-specific eligibility criteria described in Section 22(b), rather than the professional-seniority criteria applicable to Arena Pro membership.

Arena Academy is available only to participants aged 18 or older. Date of birth provided for age verification is handled as described in the Privacy Policy and is not displayed to other participants or mentors.

3 Service Content Arena Software Restrictions and Limited License

(a) All (i) content on the Service, including but not limited to the information, data, design, text, graphics, photos or other audiovisual materials, layouts, tools, files, links, and their selection, arrangement, and “look and feel” (collectively, the “Service Content”), (ii) software and other technology that are used by or for Arena to power the Service or that is distributed via the Service (the “Arena Software”), and (iii) all associated patents, trademarks, service marks, trade dress, trade secrets, copyrights, and other intellectual property and proprietary rights are the property of Arena or its licensors. All rights not expressly granted in these Terms of Use are reserved by Arena and its licensors.

(b) Except as expressly set forth in these Terms of Use, you are not permitted to modify, copy, distribute, sublicense, download, create derivative works of, reverse engineer, disassemble, display, perform, republish, frame, or otherwise transmit the Service Content or Arena Software, or any part of either, or attempt to access any related source code, without Arena’s prior written consent.

(c) Subject to your strict compliance with these Terms of Use, Arena grants you a limited, personal, non-exclusive, non-assignable, non-transferable, revocable license to access, display, view, and use the Service Content on a personal computer, tablet, mobile device, or other internet-enabled device with a web browser, for your personal use only in connection with your efforts to pursue career opportunities or source talent via the Service.

(d) For Academy materials that Arena expressly makes available for download, the personal-use license above includes downloading and keeping an authorized copy for your own career-development use, subject to any specific access period or restrictions disclosed for that material. This permission does not authorize resale, redistribution, public posting, sharing access credentials, or making recordings of sessions. Any third-party materials remain subject to their stated license terms.

4 User Data and Other User Content Licenses

(a) When you sign up to be a User on the Service, you will provide certain data and information about yourself or your company (“User Data”). All User Data that you submit must be true, accurate, current, and complete, and you must promptly update this User Data as necessary.

(b) You are solely responsible for the User Data that you submit. As between you and Arena, you own the User Data, subject to the rights and licenses granted by you in these Terms of Use.

(c) You represent and warrant that: (i) you have all necessary rights, licenses, and/or consents necessary to provide the User Data, and (ii) the User Data does not violate, infringe, or misappropriate the rights of any third party.

(d) If you submit, upload, post, or otherwise provide materials through the Service, including Academy discussions or activities (together with your User Data, “User Content”), you retain ownership of your User Content. You grant Arena a limited, non-exclusive, royalty-free license to host, store, reproduce, transmit, and display that User Content only as reasonably necessary to provide, maintain, support, and secure the Service you use, or to carry out your instructions. Arena may permit service providers acting on its behalf to exercise these rights only for those purposes and subject to appropriate contractual restrictions. The license continues only while needed for those purposes, including retention permitted by the Privacy Policy or required by law. It does not grant permission to sell your User Content, use it in advertising, or train an artificial intelligence model beyond any separate, valid permission and the limits in the Privacy Policy.

(e) You control the User Content you choose to submit and the audiences you choose through available features. Information you share in a group session or with another participant may be seen and retained by that recipient. Do not submit another person’s confidential or personal information without authority. Arena will handle personal information, including any disclosure, in accordance with the Privacy Policy and applicable notices and permissions; this Section does not override those safeguards.

(f) Arena may restrict access to or remove User Content, or suspend an account, where reasonably necessary to address a material violation of these Terms, unlawful activity, a security risk, or a threat to participant safety. Where reasonably practicable and lawful, Arena will explain the reason and provide an opportunity to respond through support@arenatalent.com. Any Academy payment or refund consequences are governed by Section 22 and applicable law.

(g) Arena does not acquire ownership of User Content because you participate in Academy. Participation alone does not authorize public use of your name, image, voice, likeness, testimonial, or submitted work for Academy marketing. Session recordings, replay access, and any separate promotional permission are addressed in Section 22(i) and the Privacy Policy. Disclosures required or permitted for legal, security, and operational purposes remain subject to the Privacy Policy and applicable law.

5 Copyright Policy

Arena respects the intellectual property rights of others. A copyright owner who believes that any material on the Service infringes upon its copyrights may submit a notification pursuant to the DMCA.

6 Service Code of Conduct

You understand that Arena makes the Service available to users only for personal use in compliance with applicable laws and with these Terms of Use. You represent and warrant that you will not scrape, harvest, or collect information, send unsolicited emails, use automated scripts, or use the Service in any unlawful manner.

The Arena Community Guidelines at https://arenatalent.com/guidelines are incorporated into these Terms and apply to Academy workshops, mentoring, group discussions, introductions, and related online or in-person interactions. In particular, do not harass participants, disclose another person’s private information or communications without permission, record a session without authorization, or use program access for unsolicited sales or mass outreach. Arena’s enforcement options remain subject to these Terms, the applicable program terms, and law.

7 Third Party Sites and Services

The Service may contain links to other services or websites. Arena is not responsible for the content, accuracy, products, or services available from such services and websites. If you decide to access these third-party services, you do so at your own risk.

8 Compliance with Laws No Responsibility for Hiring and Staffing Decisions

You are required to comply with all applicable laws and regulations. With respect to hiring, staffing, and recruiting interactions between users, Arena acts as a platform provider and does not make or recommend those decisions on behalf of users. Academy career-development activities do not make Arena an employer, recruiter, or placement service for participants. This does not limit Arena’s responsibility for the program services it expressly agrees to provide.

9 Term and Termination

These Terms of Use remain in full force and effect until you or Arena terminates your account. You may delete your account at any time by contacting support@arenatalent.com.

The end of an Academy cohort, withdrawal from Academy, and cancellation of an Arena Pro membership are separate events. The duration of Academy access and any withdrawal or refund consequences are described in Section 22. Deleting an account does not itself resolve outstanding payment obligations or refund eligibility, which remain subject to the agreed program terms and applicable law.

10 Fees

Arena reserves the right to charge for the Service and/or to impose fees for different levels of access.

(a) Arena Pro membership. For new Arena Pro members, the selected membership fee is charged after the 14-day free trial unless the membership is cancelled before the trial ends. Subsequent Arena Pro membership fees are charged in advance and are nonrefundable. If Arena terminates your Arena Pro access due to breach, you are not entitled to any refund, except where applicable law requires otherwise.

(b) Arena Academy. Academy program fees, payment timing, cancellation, refunds, and any continuing access are governed by Section 22 and the Academy purchase disclosures. Arena Pro trial, subscription-renewal, and nonrefundability terms do not apply to an Academy fee merely because the purchaser has an Arena account. Any separate Arena Pro purchase requires its own clearly disclosed terms and authorization.

11 Password and Account Security

You are responsible for choosing a strong password and maintaining the confidentiality of any login credentials. If you suspect unauthorized use, contact support@arenatalent.com.

12 User Disputes

You are solely responsible for your interactions with employers and other users. Arena reserves the right, but has no obligation, to monitor disputes.

13 Indemnification

You agree to indemnify and hold harmless Arena, its affiliates, and their respective officers, directors, employees, owners, contractors, and agents from and against any claims, demands, suits, and proceedings arising from your use of the Service.

14 Disclaimers

THE SERVICE AND THE SERVICE CONTENT ARE PROVIDED “AS-IS” AND “AS AVAILABLE,” TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND ARENA DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED. ARENA IS NOT RESPONSIBLE FOR ANY USER DATA, OTHER USER CONTENT, OR THE CONTENT OR INFORMATION OF THIRD PARTIES.

15 Limitations of Liability

TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, IN NO EVENT IS ARENA LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES. ARENA’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED US$100.

16 Dispute Resolution by Binding Arbitration

You and Arena agree that any and all disputes or claims must be resolved exclusively through final and binding arbitration, rather than a court, in accordance with the AAA’s Consumer Arbitration Rules. You agree to waive any right to a trial by jury or to participate in any class action.

17 Governing Law and Venue

The laws of the State of Delaware govern these Terms of Use. With respect to disputes not subject to arbitration, you agree to the exclusive jurisdiction of courts located in Trenton, New Jersey.

18 Notices

Notices to Arena must be sent to 28305 Cherry Blossom Court, Lawrence Township, NJ 08648, or to legal@arenatalent.com.

19 General Terms

These Terms of Use and any Additional Terms constitute the entire agreement between you and Arena regarding the Service. You may not assign or transfer any of your rights without Arena’s prior written consent.

20 Notice for California Users

Under California Civil Code Section 1789.3, users from California may contact the Complaint Assistance Unit of the Division of Consumer Services at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.

22 Arena Academy Program Terms

These Academy-specific terms apply when you apply for, enroll in, or participate in Arena Academy. If these terms conflict with another part of the Terms of Use or Arena Pro membership terms, these terms control for Academy only. Nothing in these Terms excludes any consumer right or remedy that applicable law does not permit us to exclude.

a Program and enrollment

Arena Academy is a career-development and networking program for students and early-career professionals interested in sports, media, and entertainment. Applying is free. Submitting an application does not guarantee admission. Arena will communicate an admission decision and the enrollment steps to accepted applicants. Program participation begins only after the required enrollment steps have been completed.

The Fall 2026 cohort is scheduled for November 11 through December 18, 2026. The program includes workshops, peer introductions, mentoring, and program materials as described in the Academy offer presented before enrollment. Any additional cohort will have its own dates and offer details.

b Eligibility and application information

You must satisfy Section 2 and the Academy eligibility criteria disclosed when you apply. For the Fall 2026 cohort, the intended audience includes undergraduate juniors and seniors, early-career graduate students, people who graduated within the past two years, and early-career professionals from individual-contributor through senior-coordinator level. Applicants must have relevant current or recent involvement in sports, media, or entertainment, which may include qualifying internships, unpaid projects, campus work, freelance work, or employment, and a current LinkedIn profile. You must provide accurate application information.

c Fees and billing

The advertised Fall 2026 Academy program fee is US$49. Any applicable taxes must be disclosed before payment. The payment due date and accepted payment method will be stated in the enrollment or checkout instructions. The US$49 program fee is a one-time fee for the Fall 2026 cohort. It does not renew automatically. Academy enrollment does not automatically subscribe you to Arena Pro or another paid plan. Any separate paid purchase requires its own disclosed price and authorization.

d Participant withdrawal refunds and transfers

Academy program fees are nonrefundable before and after the program begins, except where applicable law requires a refund or Arena agrees to an exception for extenuating circumstances. If you have extenuating circumstances, email support@arenatalent.com to discuss them. Arena considers these requests individually; submitting a request does not guarantee a refund.

This policy does not limit any cancellation, refund, or other remedy required by applicable law, including any remedy that applies if the program is cancelled or agreed services are not delivered. Missing a session, choosing not to participate, or deleting an account does not itself create a refund entitlement, subject to those rights and Arena’s review of extenuating circumstances.

e Workshops mentoring and peer introductions

Workshops are delivered virtually using the communicated meeting platform, currently Zoom. The Fall 2026 offer provides recordings and slides for the Wednesday sessions, and live attendance is not required. Recordings are subject to the replay rules in Section 22(i). Slides are subject to Section 3 and any expressly disclosed material-specific restrictions.

The Fall 2026 offer includes 15 suggested peer introductions during weeks two through six, with three suggestions per week. Suggestions are based on relevant profile information, interests, and goals. A connection requires mutual acceptance. Scheduling and completion of a meeting require the participants’ cooperation; a suggested introduction is not a guarantee that a meeting, referral, internship, or job will result.

The included mentorship benefit is one small-group mentoring session with an assigned mentor. An individual one-to-one mentoring session is not included. Arena will communicate the session scheduling details to participants.

Mentor assignments are intended to support career-relevant learning. Mentors share their perspectives and experience; participants remain responsible for their own career decisions. Academy is not a job-placement service and does not promise employment, internships, earnings, interviews, admissions, or referrals. This does not excuse Arena from providing the program benefits expressly included in the accepted offer.

f Participation conduct and materials

You are responsible for suitable internet access, a compatible device, and following the session and scheduling instructions provided. Treat mentors, speakers, and other participants respectfully and comply with Section 6. Do not redistribute private discussions, another participant’s work, or session recordings without appropriate permission. Do not submit confidential employer, school, client, or third-party material unless you have authority to do so.

Your access is personal and may not be transferred or shared. Academy materials remain subject to Section 3 and any applicable third-party license. Arena does not promise academic credit, professional licensure, accreditation, or an employment qualification through Academy unless the relevant benefit is expressly stated in the approved program offer.

g Changes cancellations and removal

Arena will communicate material program changes, cancellations, or rescheduling to enrolled participants. Changes to these Terms do not by themselves authorize an undisclosed additional charge or eliminate a mandatory consumer remedy. Any removal for misconduct remains subject to the applicable conduct rules, Section 22(d), and law. Contact support@arenatalent.com with questions about a change or cancellation affecting your participation.

h Program end and continuing access

After December 18, 2026, Academy participants will have access to a free version of Arena where they can continue to engage with peers and mentors from the program, access industry-event opportunities, and explore community groups. They will be invited to Arena events. When eligible, they may apply for Arena Pro within the platform.

This free access is separate from an Arena Pro subscription. Event invitations do not guarantee admission, available capacity, or free tickets; any registration requirements or charges will be disclosed for the event. Continuing engagement does not include a promise of further scheduled mentoring sessions, mentor responses, a new Academy cohort, or acceptance into Arena Pro. No automatic paid upgrade occurs. Session-replay access remains limited as stated below. Personal-information retention is governed by the Privacy Policy.

i Recordings confidentiality and promotional use

Arena records the Wednesday Academy sessions described in the program offer to make replays available. Before a session is recorded, Arena will provide the notice and obtain any consent required by applicable law. A recording may include a participant’s name, image, voice, and contributions if the participant chooses to appear or speak. Do not include confidential information in a recorded session.

Session recordings are available for replay only to Academy program participants for 30 days after the relevant event. Participants may not share the recordings or their access with people outside the program. The end of the 30-day access period is not a promise that all underlying files or legally required records have been deleted; storage and deletion are governed by the Privacy Policy.

Arena may ask to use selected participant footage in marketing. Such use requires a separate, optional, express media permission that identifies the material and permitted uses; consent to ordinary program recording or acceptance of these Terms alone is not that permission. Declining marketing permission does not prevent participation in Academy. The Privacy Policy describes the personal information involved and applicable choices. Participants may not make or distribute their own recording of a session without permission from Arena and any other person whose permission is required.

This paragraph concerns Arena-hosted Academy sessions. It does not authorize access to recordings, transcripts, chats, or other content from a participant’s separately connected calendar or conferencing account, or override the restrictions in Section 6 of the Privacy Policy.

j Privacy and questions

The Arena Privacy Policy at https://arenatalent.com/privacy-policy applies to Academy application and participation information. Questions about Academy access, billing, or the program may be sent to support@arenatalent.com. Privacy inquiries and rights requests may be sent to privacy@arenatalent.com.

Arena Pro two week free trial

This section applies only to Arena Pro membership, not to an Academy program fee. All new Arena Pro members receive a two-week free trial after acceptance and membership activation. A payment card is required. Your selected plan is charged automatically after 14 days unless you cancel first.

After the trial, Arena Pro membership costs $199/year or $65/quarter, according to the plan selected at activation. Cancel before the 14-day trial ends to avoid the first Arena Pro membership charge.
